Strategic Negotiations

The best deals are negotiated before they're signed.

Most commercial value is won or lost in negotiation — not in court, and not in the final proofread. We provide strategic negotiation support for high-value contracts and commercial relationships: knowing what to push on, what to trade, and how to secure advantageous terms while keeping the relationship you're negotiating with intact.

What we cover

Deal negotiation support
Behind-the-scenes counsel or at-the-table support for significant contracts: sponsorships, long-term supply and service relationships, licensing, management agreements and more. We map your leverage, prioritise the terms that carry real value, and shape the sequence of the negotiation itself.
Negotiation strategy and playbooks
For recurring deal types, we build your standard positions: what you always ask for, your walk-away points, and pre-approved fallbacks — so every negotiation starts from your terms and moves faster.
Commercial risk analysis
Before you commit, a clear-eyed read of what the deal exposes you to: concentration risk, exit costs, liability, dependency — and what the contract can and can't do about each.
Renegotiation and mid-contract leverage
Circumstances change; contracts can too. We advise on reopening terms, using review clauses, and renegotiating from within a live relationship without breaking it.
Pre-dispute positioning
When a relationship is heading somewhere difficult, the strongest outcomes go to whoever prepared earliest. We help you build your position quietly and correctly — see also our Dispute Positioning practice.
How we work

Fifteen years on the commercial side of deals shapes how we negotiate: commercially first, legally always. You'll know at every stage what we're pushing for and why, what it's worth, and what we'd trade it for. Discreet, strategic and always aligned with the relationship you need on the other side of signature. Fixed fees or agreed arrangements, scoped to the deal.

Frequently asked questions

When should a lawyer get involved in a negotiation?
Earlier than most people think. Once heads of terms are agreed, much of your leverage is already spent — the highest-value involvement is before positions harden.
Will bringing in a lawyer make the negotiation adversarial?
Done well, the opposite — clear terms and a structured process usually make deals faster and relationships stronger. We can also work entirely behind the scenes, with you leading the conversation.
Can you help with a deal that's already in trouble?
Yes — renegotiation and pre-dispute positioning are core parts of this practice. The earlier we look at it, the more options you'll have.
Do you negotiate on our behalf or advise in the background?
Whichever serves the deal — at the table, behind the scenes, or a mix. Many clients prefer to lead the relationship while we shape the strategy and the drafting.
